Terms & Conditions
1. Parties
"The Company", "we", or "us" refers to Superbia Fastners and Fittings (PTY) LTD, Registration No. 2026/305254/07, trading from 30 Bedford Avenue, Benoni, Gauteng.
"Customer" or "you" means any person, company, or entity submitting a trade enquiry or placing an order with the Company.
These terms apply to all transactions conducted via the website (superbia.africa), WhatsApp, telephone, email, or in person.
2. Quotations
- All quotations are valid for 14 (fourteen) calendar days from the date of issue unless an alternative validity period is stated in writing.
- Prices quoted are exclusive of VAT (15%) unless explicitly stated as VAT-inclusive.
- Prices are subject to change without notice and are not binding until a written order confirmation has been issued by the Company.
- Product availability is subject to stock-on-hand at the time of order confirmation. Quoted availability is estimated and not guaranteed.
- The Company reserves the right to withdraw or amend a quotation at any time before a written order confirmation is issued.
3. Orders & Order Acceptance
- An order is binding only when confirmed in writing by an authorised representative of the Company.
- Verbal orders are not binding. The Company accepts no liability for verbal commitments not confirmed in writing.
- The Company reserves the right to decline any order without providing a reason and without incurring any liability.
- Minimum order quantities (MOQ) may apply and will be stated on individual quotations.
- Special-order items (non-standard sizes, cut-to-length rod, custom specifications) may be subject to longer lead times and non-cancellation conditions.
4. Pricing & Payment
- Cash sales: Full payment is required before dispatch of goods.
- Credit account customers: Payment is due within 30 (thirty) days from the date of invoice, unless alternative terms are agreed in writing.
- Late payments attract interest at the prime overdraft lending rate plus 2% (two percent) per annum, calculated daily and compounded monthly.
- The Company reserves the right to place any account on hold and withhold future orders pending settlement of outstanding amounts.
- All prices are in South African Rand (ZAR). The Company does not transact in foreign currencies.
5. Credit Accounts
- Credit accounts are available to approved trade buyers and are subject to a credit application and reference check.
- The Company may set or revise credit limits at its sole discretion.
- A credit account does not guarantee availability of credit. The Company may require COD (cash on delivery) terms if an account is in arrears.
6. Delivery & Risk
- Delivery lead times are estimates only and are not guaranteed. The Company shall not be liable for delays caused by couriers, logistics providers, weather events, or any circumstances beyond our reasonable control.
- Risk in goods passes to the Customer upon dispatch from our premises. The Customer is responsible for insuring goods in transit where collection or delivery is arranged by the Customer.
- Delivery charges are quoted separately and are payable by the Customer unless otherwise agreed in writing.
- The Company arranges courier services as a convenience to the Customer. Courier charges are passed through at cost and the Company accepts no liability for courier delays or damage once goods leave our premises.
- Collection from our Benoni warehouse is available during business hours: Monday–Friday 08:00–17:00, Saturday 08:00–13:00.
7. Returns, Claims & Warranties
- Claims for damaged, incorrect, or short-delivered goods must be made in writing within 7 (seven) calendar days of the delivery date.
- Returns are only accepted with prior written authorisation (RMA) from the Company. Goods returned without authorisation will not be processed.
- Goods must be returned in original, undamaged packaging in a saleable condition.
- No returns are accepted on special-order items, cut-to-length materials, or goods that have been modified, installed, or used.
- The Company does not manufacture goods and cannot warrant fitness for purpose beyond what is stated in manufacturer specifications. Standard product warranties (if applicable) are passed through from the original manufacturer.
8. Limitation of Liability
- The Company's total liability to the Customer in respect of any claim shall not exceed the invoice value of the goods giving rise to the claim.
- The Company shall not be liable for indirect loss, consequential loss, loss of profit, loss of production, economic loss, or any claim arising from the use or misuse of goods supplied.
- Nothing in these terms limits liability for gross negligence or wilful misconduct as defined under South African law.
9. Intellectual Property
- All product photography, descriptions, brand assets, and website content are the intellectual property of the Company or are used under licence.
- Reproduction, republication, or commercial use of any content without prior written consent is prohibited.
10. Force Majeure
The Company shall not be in breach of these terms and shall not be liable for any failure or delay in performance arising from events beyond its reasonable control, including but not limited to natural disasters, labour disputes, supply chain disruptions, regulatory changes, or civil unrest.
11. Consumer Protection Act (CPA)
To the extent that these terms apply to transactions with natural persons acting as consumers (as defined in the Consumer Protection Act 68 of 2008), nothing in these terms is intended to limit or override rights granted to consumers under the CPA. In the event of conflict, the CPA prevails.
12. Governing Law & Dispute Resolution
- These terms are governed by the laws of the Republic of South Africa.
- Any dispute arising from or in connection with these terms shall be referred to the courts of the Gauteng Division of the High Court, or the Magistrate's Court having jurisdiction, at the Company's election.
- The Customer consents to the jurisdiction of the above courts and waives any right to object to venue.
13. Amendments
The Company may update these Terms & Conditions at any time. The current version is published at superbia.africa/terms.html. Continued use of the website or submission of an enquiry after publication of updated terms constitutes acceptance.
